Tucows appoints new chair, vice chair and committee leadership


Independent ISP Tucows Inc. announced Monday the appointment of Laurenz Nienaber as chair of its board of directors and Jeffrey Tory as independent vice chair, following the election of its new board at the company’s annual general meeting on May 20.

Both new additions to the board, Nienaber is the founder and managing director of Munich-based LMN Capital GmbH and Tory is chair and portfolio manager at Pembroke Management Ltd. in Montreal.

“Having followed Tucows for over a decade, I’m honoured to take on this role and excited to work alongside the newly constituted board and the seasoned executive team,” Nienaber said in a statement. “We’ve already begun collaborating effectively and bring a strong mix of experience and perspectives. We’re actively engaged with management as we navigate important strategic decisions to shape Tucows’ next chapter.”

The newly formed Tucows board also confirmed the leadership and composition of its committees. Allen Taylor is chair of the audit committee, which includes Tory and Marlene Carl as members. Lee Matheson is chair of the governance and nominating committee, with Stephen Uhrenbacher and Sandra Matz as its other members. Finally, the newly established compensation committee is chaired by Uhrenbacher, with Nienaber and Taylor serving as members. The formation of this new committee, incorporating responsibilities previously managed within the governance and nominating committee, “reflects Tucows’ emphasis on transparent and performance-aligned executive compensation practices”, Tucows said in a press release.

“We believe that this leadership structure for our Board provides us with a strong investor orientation while continuing to value all stakeholders,” said Elliot Noss, president and CEO of Tucows, in the press release. “It demonstrates our continued commitment to good governance and shareholder alignment.”
