About the Role:

The Director, Corporate Secretarial Services will work closely with Corus Entertainment Inc.’s (“CEI”) Board of Directors and executive leadership team to support the corporate secretarial and corporate governance function in the Law Department. The Director, Corporate Secretarial Services will help manage all corporate secretarial matters pertaining to CEI, including all related processes and documentation. This role will report to the VP, Associate General Counsel, Corporate, with a dotted line report to the EVP and General Counsel. Our ideal candidate will be self-motivated, collaborative, highly organized, with superior interpersonal and communication skills.

You’ll be working on things like:

Attending and preparing minutes for Board of Directors and Board Committee meetings
Drafting, coordinating and distributing meeting materials in conjunction with Board of Director Meetings and Board Committee Meetings
Attending and preparing minutes for Annual and Special Shareholder meetings
Drafting and organizing the distribution of meeting materials in conjunction with Annual and Special shareholders meetings, including meeting notices, proxy materials and scripts
Coordinating Annual and Special Shareholder meeting preparation with service providers, such as Transfer Agent and Printer
Coordinating and supporting the preparation of public disclosure documents for CEI
Managing Director and Officer onboarding and exit processes, including associated filings
Reviewing, updating, and distributing the Director’s manual on a periodic basis
Managing Insider Reporting documentation and filings through SEDI on behalf of Corus insiders
Supporting corporate and securities aspects of CEI’s transactional activities, including acquisitions, dispositions and financings
Participating in Environmental, Social and Governance (ESG) related compliance reviews, improvement projects and reporting

Knowledge and Experience:

Expertise in corporate secretarial and corporate governance functions for publicly listed companies
Solid familiarity with principles of corporate compliance, particularly for publicly traded companies
Experience in the preparation of board and shareholder documentation, including resolutions, minutes, board agendas, notices and information packs
Familiarity with a wide variety of agreement types, including procurement, service agreements, non-disclosure agreements, and memoranda of understanding
Extensive knowledge of corporate and securities law, including the Canada Business Corporations Act and the Securities Act (Ontario).
A proven track record of managing different levels of stakeholders, including executive leaders, and fostering cross-functional collaboration
Experience designing and managing projects, with a strong focus on process optimization
Foundational knowledge generally gained through post-secondary education in business, law or related field with relevant continuing education or significant equivalent experience
Key Skills and Behaviours:

Excellent written, verbal and interpersonal communication skills with the ability to form relationships across the organization and build confidence quickly
Strong organizational and time management skills, with experience prioritizing multiple time-sensitive projects
Demonstrated initiative, confidence and good judgment to be able to work with minimal direction and to respond effectively to issues that arise in the absence of management
Sound judgment regarding ethics, discretion, privacy and confidentiality requirements
Detail-oriented with the ability to anticipate needs, and think logically, analytically and creatively
Professional, mature demeanor and a high level of diplomacy
High level of proficiency in the Windows environment, including the full suite of Microsoft Office products (in particular, Outlook, Word, Excel, and Power Point)
Experience with Diligent board management software and cloud-based corporate records/entity management software an asset
Experience with SEDAR, SEDI & TSX SecureFile online filings an asset
